Rheaply Visibility Terms of Service

These Rheaply Visibility Terms (the “Visibility Terms”) form a part of, and are incorporated into, the Rheaply Terms of Service, and apply to you, if you use the Visibility Services.  Any capitalized terms that are used but not defined in these Visibility Terms have the meaning set forth in the Agreement. 

  1. VISIBILITY SERVICES. 
    1. Rheaply’s Visibility Service (“Visibility”) is a marketplace that allows organizations to manage its inventory, materials and resources (“Resources”). 
    2. Grant of Rights. Subject to the terms and conditions of the Agreement, Rheaply grants you a revocable, non-exclusive right to access and use Visibility solely for the internal management of your owned and operated business organizations’ resources as expressly permitted in the Agreement. ‍ You are solely responsible and liable for all activity that happens via your organization’s account(s).
  2. RESTRICTIONS AND RESPONSIBILITIES. 
    1. In order to use the Services, you agree to maintain accurate, complete, and up‑to‑date information for your account. Your failure to maintain accurate, complete, and up‑to‑date account information may result in your inability to access and use the Services, or the termination of your account.
    2. In connection with using or accessing Visibility you agree to comply with these Visibility Terms, our policies, and all applicable laws, rules, and regulations, and you will not:
  • breach or circumvent any laws, regulations, third-party rights or our systems, Services, policies;
  • use our Services if you are not are temporarily or indefinitely suspended from using our Services, or are a person with whom transactions are prohibited under economic or trade sanctions;
  • transfer your Visibility account (including feedback) and user ID to another party without our consent;
  • create listings, post, or upload content in inappropriate categories or areas on our sites;
  • post false, inaccurate, misleading, deceptive, defamatory, or libelous content;
  • distribute viruses or any other technologies that may harm Visibility or Rheaply;
  • use any robot, spider, scraper, data mining tools, data gathering and extraction tools, or other automated means to access our Services for any purpose, except with the prior express permission of Rheaply;
  • circumvent any technical measures used to provide our Services.
  • interfere with the functioning of our Services, such as by imposing an unreasonable or disproportionately large load on our infrastructure;
  • export or re-export any Visibility application or tool, except as expressly agreed in writing in advance by Rheaply and in compliance with the export control laws, and rules and policies of any relevant jurisdictions;
  • infringe the copyright, trademark, patent, publicity, moral, database, and/or other intellectual property rights (collectively, “Intellectual Property Rights”) that belong to or are licensed to Visibility. Some, but not all, actions that may constitute infringement are reproducing, performing, displaying, distributing, copying, reverse engineering, decompiling, disassembling, or preparing derivative works from content that belongs to Visibility or someone else;
  • infringe any Intellectual Property Rights that belong to third parties affected by your use of our Services or post content that does not belong to you;
  • commercialize any Visibility application or any information, data, or software associated with such application, except with the prior express permission of Rheaply; or
  • harvest or otherwise collect or use information about users without their consent.
  1. POLICY ENFORCEMENT.  If we believe you are abusing Visibility and/or our Services in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our Services, delay or remove hosted content and take technical and/or legal steps to prevent you from using our Services.
  2. LISTING CONDITIONS.  When listing an item via our Services, you agree to comply with Visibility’s AUP and also agree that:
    • You assume full responsibility for the item listed and the accuracy and content of the listing,
    • Your listing may not be immediately searchable by keyword or category for several hours. Rheaply does not guarantee exact listing duration,
    • The content you provide complies with all of our listing policies, and
    • Content that violates any of Visibility’s policies may be modified, obfuscated, or deleted. 
  3. Additional Terms.
    1. The name “Visibility” and other Visibility marks, logos, designs, and phrases that we use in connection with our Services are trademarks, service marks, or trade dress of Visibility in the U.S. and other countries. They may not be used without the express written prior permission of Visibility.
    2. We may amend these Visibility Terms at any time by posting the amended terms on www.Rheaply.com. Our right to amend these Visibility Terms includes the right to modify, add to, or remove terms herein. Your continued access or use of our Services constitutes your acceptance of the amended terms. We may also ask you to acknowledge your acceptance of the Agreement through an electronic click-through.
